从迪士尼收购福克斯，来看公司合并程序的法律问题 公司合并涉及公司、股东和债权人等相关人的利益，应当依法进行。根据《公司法》的规定，公司合并的程序通常如下： 1、董事会制订合并方案。 2、签订公司合并协议。 公司合并协议是指由两个或者两个以上的公司就公司合并的有关事而订立的书面协议。协议的内容应当载明法律、法规规定的事项和双方当事人约定的事项，一般来说应当包括以下内容： （1）公司的名称与住所。这里所讲公司的名称与住所包括合并前的各公司的名称与住所和合并后存续公司或者新设公司的名称与住所。公司名称应当与公司登记时的名称相一致，并且该名称应当是公司的全称；公司的住所应当是公司的实际住所即总公司所在地。（2）存续或者新设公司因合并而发行的股份总数、种类和数量，或者投资总额，每个出资人所占投资总额的比例等。（3）合并各方现有的资本及对现有资本的处理方法。（4）合并各方所有的债权、债务的处理方法。（5）存续公司的公司章程是否变更，公司章程变更后的内容，新设公司的章程如何订立及其主要内容。（6）公司合并各方认为应当载明的其他事项。 3、编制资产负债表和财产清单。 资产负债表是反映公司资产及负债状况、股东权益的公司要的会计报表，会计合并中必须编制的报表。合并各方应当真实、全面地编制此表，以反映公司的财产情况，不得隐瞒公司的债权、债务。此外，公司还要编制财产清单，清晰地反映公司的财产状况。财产清单应当翔实、准确。 4、合并决议的形成。 公司合并应当由公司股东会或者股东大会作出合并决议，之后方进行其他工作。公司合并会影响到股东利益，如股权结构的变化。根据《公司法》第四十四条、六十条和第一百零三条的规定，就有限责任公司来讲，其合并应当由股东会作出特别决议，即经代表三分之二以上表决权的股东通过才能进行；就股份有限公司来讲，其合并应当由公司的股东大会作出特别决议，即必须经出席会议的股东所持表决权三分之二以上决议通过才能进行；就国有独资公司来讲，其合并必须由国有资产监督管理机构决定，其中，重要的国有独资公司合并应当由国有资产监督管理机构审核后，报本级人民政府批准，才能进行。 5、向债权人通知和公告。 公司应当自作出合并决议之日起十日内通知债权人，并于三十日在报纸上公告。一般来说，对所有的已知债权人应当采用通知的方式告知，只有对那些未知的或者不能通过普通的通知方式告知的债权人才可以采取公告的方式。通知和公告的目的主要是告知公司债权人，以便让他们作出决定，对公司的合并，是否提出异议，此外，公告也可以起到通知未参加股东会（股东大会）的股东的作用。 6、合并登记。 合并登记分为解散登记和变更登记。公司合并以后，解散的公司应当到工商记机关办理注销登记手续；存续公司应当到登记机关办理变更登记手续；新成立的公司应当到登记机关办理设立登记手续。公司合并只有进行登记后，才能得到法律上的承认。
